These Terms of Use (the “Agreement”) govern your access to and use of all websites, applications, software, tools, subscriptions, and services provided by Hidaku LLC, operating under the trade name Buildify (formerly known as “Ozone Builds” or “Hidaku Studio”) (“Buildify,” “we,” “us,” or “our”).

By creating an account, purchasing or subscribing to services, accessing https://BuildifyHQ.com, our websites, including https://usebuildify.com and any predecessor or successor domains, including https://buildifyhq.com (collectively, the “Website”). downloading any application, or otherwise using the Services, you agree to be legally bound by this Agreement and all applicable laws and regulations.

If you do not agree, you must not access or use the Services.

2. Modifications to These Terms

Buildify reserves the exclusive right, at any time and in its sole discretion, to modify, update, or replace any part of this Agreement. Changes are effective immediately upon posting unless otherwise stated.

Your continued use of the Services after changes constitutes binding acceptance of the revised Agreement. If you do not agree, your sole remedy is to discontinue use of the Services.

3. Eligibility & Account Responsibility

By using the Services, you represent that:

• You are at least 18 years old
• You have the authority to bind yourself or any entity you represent
• All information you provide is accurate and current

You are solely responsible for:

• All activity under your account
• Maintaining the confidentiality of login credentials
• Any actions taken by users you authorize

Buildify is not responsible for unauthorized access caused by your failure to secure your credentials.

4. Acceptable Use & Restrictions

You agree not to, directly or indirectly:

1. Reverse engineer, decompile, disassemble, modify, or create derivative works of the Services
2. Copy, resell, sublicense, lease, or commercially exploit the Services without written consent
3. Remove or alter proprietary notices, branding, or copyright markings
4. Use the Services for unlawful, misleading, abusive, or fraudulent purposes
5. Interfere with, disrupt, overload, or attempt to bypass security measures
6. Send spam, phishing messages, or unsolicited communications
7. Scrape, harvest, or collect data from the Services without authorization
8. Infringe intellectual property, privacy, or contractual rights of others
9. Use the Services to develop or operate a competing product or service
10. Use the Services in violation of applicable laws, regulations, or platform rules

Violation of this section may result in immediate suspension or termination without notice.

5. Intellectual Property Rights

All rights, title, and interest in and to the Services, including software, code, designs, workflows, trademarks, branding, documentation, and content, are owned by or licensed to Hidaku LLC and are protected by U.S. and international laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business or personal use, subject to this Agreement.

No ownership rights are transferred.

6. User-Generated Content

You retain ownership of content you submit. However, you grant Buildify a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, host, reproduce, modify, display, distribute, and process such content solely to operate, improve, and promote the Services, consistent with our Privacy Policy.

This license survives account termination to the extent necessary for:

• Legal compliance
• Backup and recordkeeping
• Dispute resolution
• Security and fraud prevention

You represent that you have all rights necessary to submit such content.

7. AI, Automation & Beta Features Disclaimer

Some Services may include AI-powered, automated, experimental, or beta features. You acknowledge and agree that:

• Outputs may be inaccurate, incomplete, or inappropriate
• Outputs do not constitute professional, legal, medical, or financial advice
• You are solely responsible for how outputs are used or relied upon
• Buildify makes no guarantees regarding accuracy, outcomes, or performance

Use of such features is at your own risk.

8. Automatic Updates

You authorize Buildify to deploy automatic updates, patches, and modifications to maintain security and functionality. Updates may occur without notice and may change features or availability.

9. Fees, Invoicing & Late Payments

By purchasing or subscribing to Services, you agree to the following:

• Invoices are due as stated
• Late Fees:
• A 5% late fee applies beginning 7 days past due, increasing by 5% per week up to a maximum of 25%
• Buildify may suspend Services for non-payment
• You are responsible for all collection costs, including reasonable attorneys’ fees where permitted

All payments are non-refundable unless explicitly stated otherwise in writing.

10. Suspension & Termination

Buildify may suspend, restrict, or terminate your access at any time, with or without notice, for:

• Violation of this Agreement
• Non-payment
• Legal or regulatory risk
• Security concerns
• Business or operational reasons

Termination does not relieve you of outstanding payment obligations.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

BUILDIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS INTERRUPTION.

BUILDIFY’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BUILDIFY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Buildify, its officers, employees, and affiliates from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your content
• Your violation of this Agreement or applicable law

14. Governing Law & Venue

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.

Any dispute shall be brought exclusively in the state or federal courts located in Los Angeles County, California.

15. Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

16. Entire Agreement

This Agreement constitutes the entire agreement between you and Buildify regarding the Services and supersedes all prior agreements or understandings.

17. Apple iOS Notice

If accessed via iOS:

• Apple is not responsible for maintenance or support
• Apple is not liable for claims arising from the Services
• Apple is a third-party beneficiary and may enforce this Agreement
