Buildify (“Buildify,” “we,” “us,” or “our”), operated by Hidaku LLC, offers a suite of products and services including web and mobile applications, integrations, support, and professional services (collectively, the “Products”). This Acceptable Use, Service Terms & No-Refund Policy (this “Policy”) governs your access to and use of the Products and any associated statements of work, milestones, sprints, demonstrations, proofs-of-concept, evaluations, deliverables, environments (including staging), and communications on our websites, including https://usebuildify.com and any predecessor or successor domains, including https://buildifyhq.com (collectively, the “Website”).

Binding Agreement. By accessing or using any Product, creating an account, paying any invoice, approving any milestone or sprint, or otherwise engaging Buildify in any manner, you agree to be bound by this Policy. If you do not agree, you must not access or use the Products.

Survival. Sections relating to confidentiality, non-circumvention, non-disclosure, payment obligations, no-refund terms, limitations, enforcement, and remedies survive termination or completion of any engagement.

1. Scope and Applicability

1.1 Covered Products

This Policy applies to all Buildify offerings, including without limitation: software, platforms, mobile and web apps, APIs, custom development, integrations, consulting, training, support, infrastructure, hosting, environments, documentation, designs, code, and any related deliverables or materials (collectively, the “Products”).

1.2 Who Must Comply

This Policy applies to any person or entity who accesses, uses, administers, or benefits from the Products, including your employees, contractors, affiliates, agents, end users, and any third party you authorize (“Authorized Users”). You are responsible for ensuring compliance by all Authorized Users.

1.3 Order of Precedence

If a signed Master Services Agreement (“MSA”), Statement of Work (“SOW”), or other written agreement conflicts with this Policy, the signed agreement controls only to the extent of that conflict. However, this Policy controls for: acceptable use, prohibited conduct, security restrictions, confidentiality baseline obligations, non-circumvention, and no-refund terms unless the signed agreement expressly overrides a specific section of this Policy.

2. Confidentiality, Non-Circumvention, and Non-Disclosure Baseline

These obligations apply to all Buildify materials and interactions, whether pre-contract, during a project, or after termination.

2.1 Confidential Information

“Confidential Information” includes any non-public Buildify information, including without limitation: pricing, roadmaps, code samples, architectures, designs, process flows, methodologies, internal practices, customer references, vendor relationships, demos, and any materials shared in meetings, messages, documents, screenshots, recordings, staging environments, or repositories.

2.2 Strict Confidentiality

You must keep all Confidential Information strictly confidential and may not publish, share, repost, disclose, or make available any Confidential Information to any third party without Buildify’s prior written consent, except to your Authorized Users who have a need to know and are bound by written confidentiality obligations at least as protective as this Policy.

2.3 Non-Circumvention

You may not directly or indirectly solicit, recruit, hire, contract with, or attempt to engage Buildify’s employees, contractors, partners, or clients that you became aware of through Buildify during your engagement, without Buildify’s prior written consent, for a period of one (1) year after the end of your engagement.

2.4 Non-Disclosure of Know-How and Trade Secrets

You may not reverse engineer, replicate, copy, derive, or develop any substantially similar product, service, workflow, methodology, or internal process based on Buildify’s Confidential Information, demonstrations, or deliverables. This restriction applies for one (1) year after the last disclosure of the relevant materials, and to the extent information qualifies as a trade secret, obligations survive as long as the information remains a trade secret.

2.5 Enforcement and Remedies

You acknowledge that a breach of this Section 2 may cause irreparable harm. Buildify may seek injunctive relief, specific performance, and any other remedies available at law or equity. You agree to reimburse Buildify for reasonable enforcement costs and attorneys’ fees where permitted by law or contract.

3. Fair Use and Customer Responsibility

3.1 Business-Only Use; Resource Abuse

Products are for lawful business use consistent with your signed agreement and/or the intended Product functionality. Excessive usage that materially degrades performance, consumes disproportionate resources, or creates heightened risk may result in throttling, additional fees, suspension, or termination at Buildify’s discretion.

3.2 Account Accountability

You are fully responsible for all activity conducted through your accounts and by your Authorized Users, including compliance with this Policy and all applicable laws.

3.3 Cooperation

You agree to promptly cooperate with reasonable Buildify investigations into suspected violations, including providing requested information necessary to assess compliance, security, and risk.

4. Prohibited Conduct

Any of the following is a material breach and may result in immediate suspension or termination without refund or credit:

  • Intellectual Property Infringement: Using, storing, or distributing copyrighted, trademarked, or proprietary materials without permission.
  • Spam / Unlawful Outreach: Sending unsolicited commercial emails, SMS, push notifications, robocalls, or bulk messaging without documented opt-in consent and compliance with applicable laws (e.g., CAN-SPAM, TCPA).
  • Malicious Activity: Introducing malware, ransomware, spyware, exploit code, or harmful scripts.
  • Unauthorized Access: Attempting to bypass security controls, access accounts/systems without authorization, probe vulnerabilities, or run penetration tests without written permission.
  • Harassment or Abuse: Harassing, threatening, intimidating, or targeting Buildify personnel, vendors, or users.
  • Illegal Content or Activity: Using Products to host, transmit, or facilitate unlawful content or activity.
  • Impersonation / Misrepresentation: Misrepresenting affiliation with Buildify or claiming rights to Buildify trademarks, code, or methodologies.
  • Data Scraping / Harvesting: Scraping or collecting data from the Products without written authorization.
  • Security-Risk Behavior: Sharing credentials, enabling unauthorized access, or configuring integrations in a way that materially increases risk.

5. Payment Terms and No-Refund Policy

5.1 Milestone / Sprint Billing

Fees may be tied to discrete milestones or sprints with defined deliverables and acceptance criteria. Unless otherwise stated in a signed agreement, work begins upon (a) invoice payment, (b) written approval, or (c) access provision—whichever occurs first.

5.2 No Refunds Once Paid

All payments are final and non-refundable once made, including deposits, setup fees, milestone payments, sprint fees, subscription fees, and professional services fees, except where Buildify expressly agrees otherwise in a signed writing.

5.3 Optional Initial-Sprint Guarantee; Strict Conditions

If Buildify offers a written initial-sprint refund guarantee for a specific engagement, it applies only if (i) it is expressly stated in writing, (ii) you submit written notice of substantive dissatisfaction before completion and acceptance of that sprint, and (iii) you have fully cooperated and provided required materials/access in a timely manner.

5.4 Nullification Upon Next Milestone

Any initial-sprint guarantee (if granted) is automatically revoked upon your initiation of, payment for, approval of, or acceptance of any subsequent milestone/sprint. Thereafter, all payments remain non-refundable.

5.5 No Withholding; Dispute Timing

You may not withhold, offset, or reduce amounts due. Any invoice disputes must be submitted in writing within five (5) business days of invoice receipt (or earlier if specified), identifying the specific disputed line items and basis. Undisputed amounts remain payable on time.

5.6 Late Payments

Invoices are due within thirty (30) days unless otherwise stated. Buildify may charge the greater of: (i) 1.5% per month (or the maximum allowed by law) on past-due amounts, or (ii) a reasonable late fee as permitted by law, and may suspend services for non-payment.

5.7 Unbilled Additional Deliverables

If Buildify delivers additional features or work outside the paid scope (whether at your request or due to evolving requirements) and such work has not yet been invoiced, Buildify may invoice for those deliverables at any time within 365 days of the initial project kickoff. Use of or access to such deliverables (including in staging/demo) constitutes acceptance that the work was provided and may be billed.

6. Suspension, Modification, and Termination Rights

6.1 Immediate Enforcement

Buildify may modify, suspend, restrict, or terminate access to Products at any time, with or without notice, to enforce this Policy, protect systems, manage risk, comply with law, or protect business interests.

6.2 Payment Processor Acceptance

Any payment processed through Stripe (or another supported processor) for a deposit, milestone, sprint, subscription, or service constitutes your acceptance of the applicable scope, billing terms, and no-refund terms associated with that payment.

6.3 No Service Credits

Suspension, restriction, modification, or termination does not entitle you to a refund, credit, or fee reduction for amounts previously paid.

6.4 Scope Control and Change Requests

Buildify will deliver only the features and deliverables expressly included in the final approved scope. Any requested modifications, additions, or changes after work begins are out of scope unless Buildify agrees in writing and may require additional fees and timeline adjustments. Buildify has no obligation to implement out-of-scope changes.

6.5 Professional Communications

Buildify does not waive its rights by engaging in dispute resolution conversations. You agree to communicate in good faith and refrain from unlawful defamation. Nothing in this Policy limits either party’s lawful right to pursue legal remedies.

7. Policy Updates

Buildify may update this Policy at any time by posting it on our website. Changes are effective upon posting (or as otherwise required by law). Continued use of the Products after posting constitutes acceptance.

8. Acknowledgment

By accessing or using any Product, paying any invoice, or approving any milestone or sprint, you confirm that you have read, understood, and agree to be bound by this Policy, including the no-refund terms.
